Terms and Conditions

These Terms and Conditions ("Terms") govern the provision of services by Dolerite Digital ("we," "us," or "our") to you ("the Client"). By engaging Dolerite Digital for any services, you agree to be bound by these Terms.

Please read these Terms carefully before engaging our services. If you have any questions, please contact us before proceeding.

Dolerite Digital provides digital services including but not limited to:

• Website design and development
• Web application development
• E-commerce store setup, design, and development
• Website maintenance and support
• Digital consulting and related services

The specific scope of work for each project will be outlined in a separate proposal, quote, or project agreement provided to the Client prior to commencement.

All quotes and proposals provided by Dolerite Digital are valid for 30 days from the date of issue unless otherwise stated. Quoted prices are in Australian Dollars (AUD) and are the total amount payable.

A quote is an estimate based on the information provided by the Client at the time of enquiry. Should the scope of work change or additional requirements arise during a project, we will discuss any changes to the quoted price with you before proceeding.

A project is considered accepted and will commence upon one of the following:

• The Client provides written confirmation (including email) to proceed
• The Client pays the required deposit or first invoice
• The Client provides access to accounts, content, or materials for the project

• A deposit may be required before work commences, as outlined in the project proposal or quote
• Invoices are due within 14 days of the invoice date unless otherwise agreed in writing
• Payment can be made via bank transfer or other methods specified on the invoice
• We reserve the right to pause or suspend work on a project if invoices remain unpaid beyond the due date
• Overdue invoices may incur a late payment fee of 2% per month on the outstanding balance
• All fees paid are non-refundable for work already completed, except where the advertised Starter business website guarantee applies

To enable us to deliver our services effectively, the Client agrees to:

• Provide all required content, images, text, branding materials, and access credentials in a timely manner
• Respond to requests for feedback, approvals, and information within a reasonable timeframe
• Ensure that all content and materials provided to us are owned by the Client or that the Client has the appropriate rights and permissions to use them
• Designate a single point of contact for project communications and approvals

Delays caused by late provision of content, feedback, or approvals by the Client may result in revised timelines and, where significant, additional charges.

We will provide an estimated timeline for each project based on the agreed scope of work. While we make every effort to meet agreed timelines, Dolerite Digital is not liable for delays caused by:

• Late provision of content, materials, or feedback by the Client
• Changes to the project scope requested by the Client
• Technical issues with third-party platforms, hosting providers, or software
• Circumstances beyond our reasonable control

Unless otherwise specified in the project proposal:

• Each project includes up to two (2) rounds of revisions based on the approved design concept
• The Personal website package is an exception and includes one (1) consolidated round of revisions
• Additional revisions beyond those included will be quoted as a fixed price and agreed with the Client before work proceeds
• Requests for changes to the project scope (additional pages, features, or functionality not included in the original quote) will be quoted separately and require Client approval before proceeding

Client content: The Client retains ownership of all content, images, text, logos, and branding materials provided to Dolerite Digital for use in the project.

Project deliverables: Upon receipt of full and final payment, ownership of the completed website design, web application, or e-commerce store (the "deliverables") transfers to the Client, except for:

• Third-party assets (such as stock images, fonts, plugins, themes, or templates) which remain subject to their respective licence terms
• Open-source code and libraries which remain subject to their respective open-source licences
• Any proprietary tools, frameworks, or code modules developed by Dolerite Digital independently of the Client's project, which we may licence for use in the deliverables but retain ownership of

Portfolio and showcase rights: Dolerite Digital reserves the right to display completed work in our portfolio, website, social media, and marketing materials unless the Client requests otherwise in writing.

Many of our projects involve third-party platforms, tools, and services (such as Shopify, WordPress, Kajabi, Lovable, hosting providers, domain registrars, payment gateways, and similar). The Client acknowledges that:

• These platforms are governed by their own terms of service, pricing, and policies
• Dolerite Digital is not responsible for changes, outages, fee increases, or policy changes made by third-party providers
• Any ongoing subscription fees, hosting costs, domain renewals, or platform charges are the responsibility of the Client
• We will advise on suitable platforms, but the final choice remains with the Client

Our services cover the design and development of the agreed project. Ongoing maintenance, updates, security patches, backups, and support after project completion are not included unless covered by a separate maintenance agreement.

We offer optional ongoing hosting and care plans. Current pricing is published on our website. These plans run month to month with no minimum term and no lock-in. Either party may end a plan by giving 30 days written notice. There is no exit fee, and on request all client assets, accounts and logins will be handed over.

To the maximum extent permitted by Australian law:

• Dolerite Digital's total liability arising from or related to any project shall not exceed the total fees paid by the Client for that project
• Dolerite Digital is not liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, loss of business, or lost profits
• Dolerite Digital is not liable for any issues arising from the Client's use, modification, or management of deliverables after project handover
• Dolerite Digital is not liable for any security breaches, data loss, or downtime caused by third-party hosting providers, platforms, or services

Nothing in these Terms excludes or limits any rights the Client may have under the Australian Consumer Law that cannot be excluded by agreement.

By the Client: The Client may cancel a project at any time by providing written notice. In the event of cancellation:

• All fees for work completed up to the date of cancellation are payable
• Any deposit paid is non-refundable, except where the advertised Starter business website guarantee applies. Where a Starter business website deposit has been paid and the first draft cannot be made right after two rounds of written changes, that deposit is refunded on the terms published on the Starter business website page
• Dolerite Digital will provide the Client with all completed work up to the point of cancellation, subject to full payment

By Dolerite Digital: We reserve the right to terminate a project if:

• Invoices remain unpaid for more than 30 days
• The Client is unresponsive for more than 30 consecutive days without prior arrangement
• The Client engages in conduct that is abusive, threatening, or unreasonable

In the event of termination by Dolerite Digital, fees for all work completed remain payable.
